Depositary Banks

Information on the Company’s participation in Depositary Receipt programs

Depositary receipts are offered for issuance solely outside the Russian Federation and may not be in public circulation on the territory of the Russian Federation.

The offering of shares through the issuance of Depositary Receipts is carried out with the provision of an appropriate agreement between the Issuer and the Depositor whereby the Depositor issues Depositary Receipts.

Depositary Receipts are offered only with prior consent of Russia’s Federal Service for Financial Markets for the issuance and circulation of the Issuer’s securities outside the Russian Federation.

The denomination, category, type and quantity of the Company’s securities, whose issue and circulation outside the Russian Federation has been sanctioned by the federal agency of executive authority: 8 400 000 000 (Eight Billion Four Hundred Million) registered ordinary shares of JSC “OGK-2” with a nominal value of 0,3627 Roubles.

The Company has an agreement with a depositary bank, Deutsche Bank Trust Company Americas, with which it will pool efforts in circulating Company shares outside the Russian Federation.
